Electronic Arts has filed its final regulatory paperwork, confirming that as of July 30, 2026, every required U.S. approval for the $55 billion take-private transaction is now secured.
The 8-K submission states the merger with the PIF-led consortium is expected to close on or about August 4, following earlier European Commission clearance under merger and foreign-subsidy rules, bringing the company’s time as a public entity to a close.
Ownership after closing is projected at 93.4 percent for Saudi Arabia’s Public Investment Fund, with Silver Lake and Affinity Partners taking the balance, while CEO Andrew Wilson and the Redwood City headquarters remain in place.
The shift removes quarterly earnings pressure, though the leveraged structure and majority stake from a sovereign fund introduce their own performance expectations.
